Job Summary

We are seeking an experienced, eager, talented Director, Associate General Counsel - Commercial, to join the Legal Team at MX. Reporting to the VP, Associate General Counsel - Commercial, the Director will play a key role in providing legal support and guidance to our commercial teams. The ideal candidate will have a strong background in commercial transactions, contract negotiation, and risk management, with a focus on supporting business development and growth initiatives. This role offers an exciting opportunity to work closely with cross-functional teams and senior leadership to drive strategic objectives and mitigate legal risks.

Job Duties

  • Provide legal support and counsel to the company's commercial operations, including sales, marketing, procurement, and business development teams.

  • Draft, review, and negotiate a wide range of commercial agreements, including customer contracts, vendor agreements, partnership agreements, and licensing agreements.

  • Advise on legal and regulatory matters related to commercial transactions, including but not limited to contract law, intellectual property, data privacy, and compliance with industry regulations.

  • Collaborate with internal stakeholders to assess and mitigate legal risks associated with proposed business initiatives, and provide strategic recommendations to support decision-making.

  • Develop and implement contract management processes and procedures to ensure compliance with contractual obligations and minimize exposure to legal risks.

  • Provide training and guidance to business partners on contract best practices, legal requirements, and compliance standards.

  • Support corporate transactions, including mergers and acquisitions, joint ventures, and strategic partnerships, by conducting due diligence, drafting transaction documents, and providing legal advice and support throughout the deal process.

  • Stay informed about changes in laws, regulations, and industry standards that may impact commercial operations, and proactively advise senior management on potential implications and risk mitigation strategies.

  • Manage relationships with external legal counsel and other third-party advisors, ensuring the efficient and cost-effective delivery of legal services.

  • Support the General Counsel and senior leadership in other legal and strategic initiatives, as needed.

Basic Requirements

  • Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the relevant state bar association.

  • 10 + years of experience practicing law, with a focus on commercial transactions and contract law, preferably in a corporate legal department or law firm setting.

  • Strong understanding of contract drafting and negotiation principles, with the ability to draft and negotiate complex commercial agreements.

  • Excellent communication and interpersonal skills, with the ability to effectively collaborate with cross-functional teams and senior leadership.

  • Demonstrated ability to analyze legal issues, identify potential risks, and provide practical solutions that support business objectives.

  • Ability to work independently, manage multiple priorities, and thrive in a fast-paced environment.

  • Prior experience in the financial services or related industries is a plus.
